Dominika Leszczyńska-Pogoda

She advises on M&A transactions and restructuring projects, supporting company shareholders, management boards and investors in key decisions concerning ownership structure and business development. She helps build transparent corporate governance, negotiates investment agreements and supports entrepreneurs in processes related to business reorganisation and attracting investors.

She has worked on transactions involving both Polish and international entities, from companies listed on the Warsaw Stock Exchange, through energy and development companies, to international capital groups. She has advised on, among other things, acquisitions of companies by industry investors, debt restructuring, joint venture projects, acquisitions of assets and organised parts of enterprises, and other projects related to attracting investors. She also supports start-ups and technology companies in the areas of corporate and IP.

Her experience also includes litigation related to M&A transactions, including price settlement and breach of representations and warranties, as well as corporate disputes, proceedings concerning the liability of professional advisors to the parties, and the liability of a bank acting as a depositary for investment funds. This allows her to combine transactional experience with litigation experience. In her work, she focuses on precision, transparency and understanding of the client’s business objectives, which allows her to lead projects where both numbers and relationships between partners are important.
